Key to appointments should be the following:

  • Competence and experience
  • Independence
  • Ability to drive the organisation’s desired strategy to achieve short- and long-term goals.
  • Experience from previous organisations and similar situations
  • Integrity and honesty

The governing body can create various committees to help them fulfil various obligations.

Committees can have various mandates whether statutory or advisory. In all such cases it is good practice to have such arrangements documented for reference purposes.

Where there are supporting committees a clear term of reference should be established for purposes of sound communication and transparency.

All members of the governing body should act in a collective manner to help deliver the organisation’s goals and objectives.

Clear job descriptions should be established for members of the governing bodies.
